  • Mkango files amended F-4 application for merger with Crown PropTech Acquisitions

    Mkango subsidiary Mkango Rare Earths has filed an amended Form F-4 registration statement with the SEC for the proposed SPAC merger with Crown PropTech Acquisitions (CPTK). Upon closing, the common shares and warrants are expected to be listed on Nasdaq under the tickers MKAR and MKARW, subject to SEC clearance and CPTK shareholder approval. CPTK and its sponsor entered into non-redemption agreements with funds managed by BlackRock subsidiaries, giving certain founder shares a shortened lock-up period; the material economic terms of the merger remain unchanged.   • Mkango Resources shareholders approve all resolutions at general meeting

    At the general meeting, Mkango Resources shareholders approved all proposed resolutions, including the election of six directors (Derek Linfield, William Dawes, Alexander Lemon, Philipa Varris, Susan Muir, Shaun Treacy) and the appointment of MNP LLP as auditors. The directors were authorized to determine their remuneration. Amendments to three remuneration plans were approved, including extensions of stock option terms beyond ten years, an increase in ordinary shares reserved for RSUs, and adjustments to the Enterprise Management Incentive Plan.   • Heraeus sells recycling subsidiary Remloy to Mkango Resources

    Heraeus is divesting its subsidiary Heraeus Remloy and is selling the business for reprocessing neodymium-iron-boron magnets to Canadian mine developer Mkango Resources. The move is part of a portfolio reshuffle that will have Heraeus focus on precious metals, health, semiconductors and its industrial business.
