Alcoa is buying the bauxite, alumina and aluminium assets of South32 (Ally Group) and is financing the transaction in part with $2.6bn of bonds. Pro-forma adjusted net debt rises to $4.7bn against pro-forma EBITDA of about $3.2bn. Management expects synergies with a net present value of $900m and plans to reduce the temporarily higher leverage through cash‑flow generation, asset sales and partial monetization of the Ma’aden stake. Alcoa issued $2.6 billion of senior unsecured notes in two tranches ( $1.5 billion, coupon 6.625% due 2034; $1.1 billion, coupon 6.875% due 2036), issued by subsidiaries. Net proceeds together with cash on hand are intended to cover the approximately $3.1 billion cash purchase price for South32 stakes plus fees and costs. Alcoa has begun building a facility to produce gallium at the Wagerup alumina refinery in Western Australia. The project is being carried out in cooperation with government and industry partners from Australia, Japan and the United States.
