Deluxe has completed the acquisition of Celero Commerce, expanding its Deluxe Merchant Services business. The transaction creates a payments platform with annual gross transaction volume of more than $70 billion and brings over 55,000 merchant relationships and 130 bank partners into the existing base. Deluxe has signed a definitive agreement to acquire Celero Commerce for $625 million; the purchase price includes additional seller transaction costs and adjustments. Celero generated more than $200 million in revenue in 2025 with an adjusted EBITDA margin of 28%. The all-cash transaction will be financed by committed debt financing (including a $375 million term loan A) and the existing revolving credit facility. Deluxe expects combined net leverage of about 3.9x at closing and plans to reduce this to below 3.0x within 24 months; cost synergies of more than $15 million are also expected.
