Gaxos.ai raises $3.6 million through exercise of warrants

Gaxos.ai completed the exercise of outstanding warrants to purchase up to 3,007,654 common shares, generating approximately $3.6 million in gross proceeds. The warrants, originally issued with exercise prices between $2.33 and $3.32, were exercised at $1.20 per share. In exchange, the company issued new, unregistered warrants for up to 6,015,308 common shares with an exercise price of $0.95 and agreed to file a registration statement with the SEC; H.C. Gaxos.ai approves increase to stock incentive plan and authorizes reverse split

Gaxos.ai shareholders approved increasing the number of common shares reserved under the 2022 Omni Equity Incentive Plan from 803,637 to 1,000,000. Four directors (Vadim Mats, Adam Holzer, Scott Grayson, Roman Feldman) were re-elected. Salberg & Company, P.A. was confirmed as independent auditor for the fiscal year ending December 31, 2026. Gaxos.ai focuses on AI applications and health after selling gaming division

Gaxos.ai sold its gaming division to Game Foundry AI in exchange for 2.2 million common shares. The company plans to concentrate going forward on the AI platforms of Gaxos Labs and the personalized health and wellness offerings of RNK Health. In Q1 2026 Gaxos reported revenue of about USD 1.81 million (Q1 2025: USD 24,000), roughly USD 1.25 million from RNK Health and about USD 563,000 from Gaxos Labs subscriptions.
