PDS Biotechnology has completed a first tranche of a private placement with gross proceeds of about $11.3 million, led by Nant Capital. The company issued common stock, prepaid warrants and accompanying warrants at prices around $0.282 and intends to use the net proceeds to repay liabilities and as working capital for clinical development. The transaction includes a contingent milestone closing under which Nant and AB Group would invest an additional $10 million and $1 million, respectively, upon filing an FDA protocol for a Phase 3 trial of PDS0301. Lars Boesgaard submitted his resignation as CFO effective September 12, 2026; his departure is not related to any disagreements over the company’s business operations.
