The appointment was made under the nomination rights of BMW Holding B.V. and is intended to bolster Solid Power’s progress on solid-state batteries and its collaboration with automotive and cell-manufacturing partners. Solid Power’s stock dropped about 6.6% after announcing a registered direct placement expected to raise roughly $130 million gross. The offering includes 17 million common shares, pre-funded warrants for 5.8 million shares and regular warrants for up to 45.6 million shares, priced at $5.70 and $5.699 per pre-funded warrant; the regular warrants are exercisable at $7.25 and expire in seven years. Solid Power said it will use the proceeds for working capital and solid-state battery development; as of Dec. 31, 2025, cash stood at about $336.5 million and outstanding common shares at roughly 201.2 million.
