Activist investor Starteepo has built a 7.34% stake in Xerox and is demanding an immediate review of the financial services unit, separate disclosure of its metrics, a reduction of balance-sheet debt and stricter capital discipline. Xerox issues warrants to shareholders to optimize balance sheet

Xerox will issue warrants pro rata to holders of ordinary shares, preferred shares and convertible bonds to strengthen its capital structure and balance sheet. Eligible holders as of the record date of 9 February 2026 will receive one warrant for every two ordinary shares, with an exercise price of 8.00 USD; allocation is planned for 11 February 2026 and the warrants will have a two‑year term. Warrants may be exercised for cash or by delivering certain Xerox debt securities at par; the exercise right will lapse early if the volume‑weighted average price reaches a threshold equal to 50% of the exercise price on 20 of 30 trading days.
