Day One Biopharmaceuticals has completed the acquisition of Mersana Therapeutics for $25 per share in cash; additionally there is a non‑tradable contingent value right (CVR) with potential payments of up to $30.25 per share. Approximately 60.6% of outstanding Mersana shares were tendered; Mersana is now a wholly owned subsidiary and trading of the shares has been halted on Nasdaq. Day One Biopharmaceuticals has announced a cash offer of $25.00 per share for Mersana Therapeutics; this represents a large premium to the previous day's price. In addition, Contingent Value Rights could pay out up to $30.25 per share if clinical, regulatory and commercial milestones are achieved for the ADC Emi‑Le.
