Curaleaf urges Aurora Cannabis shareholders to accept takeover offer
Curaleaf offers 0.3463 Curaleaf shares plus $0.75 in cash for each Aurora share, which, based on the 30-day volume-weighted average price on August 10, 2026, amounts to a valuation of $4.00 per Aurora share and a premium of 45%. The acceptance period runs until December 1, 2026; chairman and CEO Boris Jordan will hold a webcast for shareholders. Curaleaf says the combined company would operate in 17 countries and would have generated $1.5 billion in revenue and nearly $350 million in adjusted EBITDA for the twelve months ended June 30, 2026, with expected annual cost synergies of at least $40 million. Curaleaf to implement 1-for-3 reverse split effective June 5
Curaleaf has announced a 1-for-3 reverse stock split to be effective on or about June 5, 2026, intended to meet U.S. exchange minimum price requirements and enable a potential uplisting. The move will reduce outstanding common shares from 698,728,008 to approximately 232,909,336 and will proportionally adjust options and convertible instruments.
