Aurora Cannabis urges rejection of Curaleaf takeover offer
Aurora Cannabis’s board unanimously recommends rejecting Curaleaf’s unsolicited takeover offer after a special committee and advisers reviewed the proposal. Aurora highlights its cash balance of USD 149 million and debt-free status as of June 30, 2026, while Curaleaf carries more than USD 1 billion of debt and lease liabilities. The proposed share-exchange ratio would give Aurora shareholders about 7.7% of the combined company but only roughly 3.2% of the voting rights. TD Securities considers the offer undervalued; shareholders are urged not to tender their shares or to withdraw any shares already tendered. » More on de.investing.com

Aurora Cannabis has received an unsolicited takeover offer from Curaleaf and recommends that shareholders take no action for the time being. Curaleaf’s bid values Aurora at $4.00 per share (0.3463 Curaleaf shares plus $0.75 in cash) with an upside cap of $5.00 per share. The board formed an independent special committee to review the offer with advisers and to issue a recommendation within 15 days; the offer period runs for at least 105 days until at least December 1, 2026.
