Fusion Fuel Green approved an amended and restated certificate of designation for its convertible series A preferred shares in an SEC filing. The conversion rate was adjusted due to the 1:35 consolidation of class A common stock effective July 11, 2025, from ten common shares per preferred share to two sevenths (2/7) of a common share per preferred share; the ratio remains adjustable. The adjustment formula for stock dividends, stock splits, consolidations or reclassifications was corrected. Fusion Fuel Green's majority-owned joint venture BioSteam Energy completed installation and commercial launch of a biomass-powered industrial steam system at a South African dairy, expected to generate about $0.7 million in annual revenue while cutting emissions and enabling carbon credit opportunities. Fusion Fuel holds a 51% interest in BioSteam and retains rights of first refusal on future JV projects. Fusion Fuel Green subsidiary secures LPG contracts in Dubai worth $1.14 million
Majority-owned Fusion Fuel Green subsidiary Al Shola Al Modea has won 16 engineering subcontracts in Dubai totaling about $1.14 million. These include a single contract for the Terra Heights residential project (approx. $0.5 million); the agreements cover design, supply, installation, testing and commissioning of central LPG systems for residential and mixed-use projects and are to be implemented immediately. Al Shola plans to expand its LPG delivery fleet to increase capacity, and operations are running as planned despite regional tensions.
