GEE Group confirms unsolicited takeover interest from Star Equity
GEE Group has received an unsolicited takeover approach from Star Equity Holdings that contained no concrete information on valuation, consideration or transaction terms. The board reviewed the proposal promptly with external legal advisers and disputes several statements in Star’s press release. GEE cannot confirm Star’s claimed 5.4% stake and will respond to Star privately in due course; the board stresses it will consider any legitimate offer that increases shareholder value. Star Equity submits merger proposal to GEE Group and laments lack of response
Star Equity Holdings, which holds a 5.4% stake in GEE Group, submitted a merger offer to GEE on January 6 and subsequently sought contact with management and the supervisory board by courier and email, but has received no response so far. Star Equity cites high SG&A costs, a poor acquisition record and GEE Group’s sharp revenue decline and losses in recent years as reasons for the proposal.
