Quarterhill will acquire almost all assets of Conduent’s toll business for $70 million in cash plus common shares representing about 7% of outstanding stock. The transaction is expected to roughly triple Quarterhill’s toll revenues and create a combined backlog of about $2 billion. Quarterhill increased revenue in Q1 2026 by 14% to $38.6 million and improved gross margin significantly from 12% to 28%. Quarterhill has entered into a senior secured credit facility of USD 60 million with U.S. Private Credit Investments (BTG Pactual). The financing comprises a USD 30 million initial term loan, a USD 25 million delayed draw term loan and a USD 5 million revolver, matures on May 12, 2031 and is secured by specified assets. Proceeds will be used to repay existing debt, redeem convertible notes, cover transaction costs and for working capital; customary covenants apply.
