Udemy completed its merger with Coursera and will become a wholly owned subsidiary of Coursera. Each Udemy common share was converted into the right to 0.800 Coursera shares; fractional shares will be settled in cash. Udemy suspended trading on the Nasdaq, filed a Form 25 for delisting and plans to suspend reporting obligations via Form 15. Udemy has added customizable scenarios, AI avatars and video capabilities to its AI-powered role-play tool so companies can create training for specific roles, industries and skill levels. The tool covers leadership, communication and sales interactions and has recorded more than 400,000 interactive simulations since launch. Udemy shareholders voted at a special general meeting to approve the planned merger with Coursera, under which Chess Merger Sub will be merged into Udemy and Udemy will become a 100% subsidiary of Coursera. The approval passed by a large majority (114,961,096 votes for the merger agreement); closing remains subject to remaining closing conditions.
