XOMA Royalty completes acquisition of HilleVax and initiates NASDAQ delisting

XOMA Royalty completed the acquisition of HilleVax for $1.95 per share plus a non-transferable CVR, making HilleVax a wholly owned subsidiary. Approximately 77.48% of outstanding shares were tendered in the offer; as a result, subsidiary XRA 4 Corp. merged with HilleVax and HilleVax’s common stock is to be delisted from the Nasdaq Global Select Market. HilleVax’s management resigned, stock options and RSUs were largely converted into cash claims and CVRs, and XOMA Royalty plans to deregister the shares with the SEC.
