DBAY Advisors has completed the squeeze-out of the remaining shares in Anexo Group after reaching the 90% ownership threshold required for a compulsory acquisition. The takeover was carried out through newly formed Alabama Bidco, which is jointly controlled by funds managed by DBAY Advisors and Anexo founders Alan Sellers and Samantha Moss. The remaining shareholders’ holdings were compulsorily acquired on the terms of the original offer, Anexo Group’s admission to trading on AIM was cancelled and the company converted into a private limited company. Shareholders of Anexo Group voted 99.41% in favor of revoking the company’s admission to trading on the London AIM and of converting it into a private company. The delisting takes effect on 24 September, with the last day of trading on 23 September; the conversion to Anexo Group Limited is expected to be completed by 16 October.
