AppTech Payments: shareholders elect directors, approve compensation and equity plan

AppTech Payments has appointed Albert L. Lord as executive chairman; as a result he is no longer considered an independent director and has left the compensation committee. The board approved employment agreements for CEO Thomas DeRosa (annual base salary $384,000) and COO Anthony Shall ($240,000), both eligible for discretionary bonuses and participation in stock option and employee equity programs. The company also entered a $1 million financing arrangement with LendSpark and Manetto Hill Fund (two $500,000 notes, 18% interest, 14-month term, convertible into common stock).
