The Argentine regulator CNV has approved Cresud’s issuance of up to 43,735,429 additional common shares to enable the full exercise of outstanding options. This approval raises the pool available for option exercise to 76,635,796 shares and could increase the share capital admitted to public trading to ARS 725,378,233 if all options are fully exercised. Cresud has adjusted the terms of its outstanding warrants following the distribution of a cash and in‑kind dividend and its own shares. The exercise ratio increases from 1.4075 to 1.5417 shares per warrant, and the exercise price per new share falls from $0.4019 to $0.3669. At the shareholders’ meeting, Cresud shareholders approved a dividend distribution adjusted to 93,781,917,808.30 ARS — of which 65,079,917,808.30 ARS in cash and 28,702,000,000 ARS as a scrip dividend in the form of 12,700,000 IRSA shares. The meeting extended the mandates of several board members until June 30, 2028, confirmed PwC as external auditor and approved compensation for the executive board and the audit committee. At the same time, an addendum to the warrant agreement was adopted allowing cashless exercise by delivery of shares, as well as the distribution of treasury shares and the company’s assumption of the wealth tax.
