ARCHIMED funds have signed a takeover agreement for Esperion that values the company at up to about $1.1 billion. Shareholders will receive $3.16 in cash per share plus non-tradable milestone rights (CVR) of up to $100 million, tied to future U.S. net revenues of certain products. The cash payment represents a 58% premium to the April 30, 2026 closing price; the Esperion share currently trades well below the offer price. Esperion sold funds from Athyrium the claim on tiered royalties for Otsuka’s bempedoic acid products in Japan for $50 million. Athyrium will receive, starting January 1, 2026, tiered royalties of 12–33% plus milestone payments until it recoups 2.0× its investment, after which the rights revert to Esperion. Esperion recorded total revenue of $408 million in 2025 (+38%) and a 34% increase in prescriptions. The company announced the acquisition of Corstasis Biotherapeutics, including the nasal loop diuretic Enbumyst, with closing expected in early April.
