Inspecs Group appoints Robert Brodie as CFO
Inspecs Group has appointed Robert Brodie as its new chief financial officer; he will join the board as an executive director in autumn 2026 and will advise Chris Kay during the transition. Brodie is a Chartered Management Accountant with more than 20 years of financial leadership experience in product-focused companies and joins from City Energy Network; he was previously CFO at Steripack Group and Direct Healthcare Group. Inspecs: bidder moves to formal takeover offer of 84 pence per share
Bidco 1125 Limited, backed by Luke Johnson and Ian Livingstone, is offering 84 pence per Inspecs share in cash and values the eyewear maker on a fully diluted basis at about £85.4m. The offer represents a premium of 107.41% to the closing price on 22 October 2025; Bidco has already received non-binding commitments for around 51.0% of the voting rights. The board of Inspecs unanimously recommends acceptance of the cash offer; an alternative share-exchange offer option remains available for certain investors. Inspecs Group postpones shareholder meetings after proxy votes suggest likely rejection of takeover
Inspecs Group has moved the court meeting and general meeting scheduled for 9 February to 23 February after received proxies indicated they would reject the cash offer of 84p per share from Bidco 1125. Bidco 1125, led by Luke Johnson and Ian Livingstone, had agreed a scheme of arrangement to effect the takeover; the consortium can switch to a standard takeover offer with the approval of the Takeover Panel.
