The Railways Pension Trustee Company (Railpen) has confirmed it will not submit a takeover offer for IP Group because it is subject to the restrictions of Rule 2.8 of the City Code. IP Group had extended the “put up or shut up” deadline but was unable to reach an agreed solution with Railpen. The company is therefore ending the offer phase and will focus on capital allocation, implementing its portfolio strategy, realising cash and expanding its platform for third‑party capital; the portfolio is expected to deliver potential value‑enhancing milestones over the next 18 months. » Más en de.investing.com

IP Group’s board rejected a revised offer from Railpen of 71.3 pence per share, saying it undervalued the company’s future potential. Railpen’s offer (around £630m) comprised 61p in cash, 10.3p for the stake in Oxford Nanopore and a conditional value right of up to 11.3p for Metsera, which could raise the total value to as much as £730m. Without the conditional value right the offer represented a roughly 10.2% premium to the closing price; Railpen holds 18.4% of IP Group. Printed notices and proxy forms have been sent to shareholders and are available electronically on the company website; virtual access via “Investor Meet Company” will be provided, but online voting is not possible. Voting may be conducted in person or by proxy (the company recommends submitting proxies early).
