Marine Products approves transaction bonuses for executives in merger with MasterCraft
Marine Products’ compensation committee approved cash transaction bonuses for two executives: Ben M. Palmer will receive $200,000 and Michael L. Schmit $100,000. The payments are contingent on the closing of the planned cash-and-stock transaction with MasterCraft; half of each bonus is payable at closing and the remainder 90 days later. The takeover by MasterCraft is valued at about $232.2 million and envisions Marine Products becoming a 100% subsidiary through a two-step merger process. Marine Products is trading near its 52-week low; according to analysis it appears undervalued, has more cash than debt and a dividend yield of 7.84%.
