Palace Capital has launched a share buyback programme for up to 3,633,880 ordinary shares (nominal value 10 pence), in line with the authority granted at the annual general meeting on 9 July 2025. Cavendish has been appointed to carry out the programme; the buyback price may not be below nominal value and is limited by the caps approved at the AGM. Acquired shares will be held as treasury shares and cancelled on completion; the authority runs until 9 October 2026 or until the next AGM. An existing shareholder group currently holds 5,833,606 shares (29.88%), which would see their stake rise to about 36.71% after a full buyback, assuming they do not sell or participate in the programme. » Más en de.investing.com

Palace Capital will hold a general meeting on 29 June 2026 to vote on an exemption from Rule 9 of the City Code on Takeovers and Mergers. The waiver would spare Lakestreet Capital Partners and the Concert Party from being required to make a cash offer for shares they do not hold, even though their stake could rise from about 29.88% to an estimated 36.71% as a result of a proposed share buyback. The Panel on Takeovers and Mergers has already agreed to the suspension, but the decision must be confirmed by shareholders who are not part of the Concert Party. Palace Capital has announced the repurchase of up to 300,000 ordinary shares and has appointed Cavendish to execute the programme. The programme runs from now until no later than 23 October 2026 or until the maximum quantity is reached and is based on the shareholder authority dated 9 July 2025; an extension will be proposed at the next general meeting. Purchased shares will be held as treasury shares and subsequently cancelled; the minimum price is the nominal value and the maximum price is 105% of the average closing price or the higher independent market price.
