The option awards are structured with a nominal exercise price and vest after three years subject to continued employment and achievement of performance targets. Vesting depends 75% on share price targets (no vesting ≤75 pence, full allocation ≥130 pence) and 25% on earnings targets (adjusted EBITDA ≥£8.0m for 2028; no vesting <£6.0m).
