Questor Technologie has signed a non-binding letter of intent to acquire Emission Rx. The purchase consideration is up to approximately C$3.0m, consisting of C$500,000 on closing, C$500,000 deferred payment, 3,333,333 common shares and an earn-out of up to C$1.0m. The transaction is intended to combine Questor’s rental fleet with Emission Rx’s field service and installed base of over 800 units and to open manufacturing capacity via the AeroTech group. Executives from Emission Rx are expected to take operational roles at Questor, cash payments will be funded from existing cash, and closing is targeted by October 1, 2026; several regulatory and approval conditions apply.
