Repare Therapeutics has signed a binding agreement with Gilead to sell the Pol-theta ATPase inhibitor RP-3467, for which Gilead will pay up to $30 million ( $25 million immediately, $5 million after completion of technology transfers). Repare Therapeutics announced a definitive takeover agreement with nonprofit biotech XenoTherapeutics. Shareholders are to receive about $1.82 per share in cash upon closing and one non‑transferable contingent value right (CVR) per common share, which entitles them to potential future payments from partnerships and licensing revenues. The deal follows a strategic review, is expected to close in Q1 2026 and will result in Repare’s delisting from the Nasdaq Global Select Market.
