Scilex has signed a binding term sheet with iHolding Group LLP for a proposed $100 million capital increase. iHolding is to acquire newly issued shares at $15.00 per share, representing a 92% premium to the current price and would almost double the market capitalization. The proceeds are intended for expansion in healthcare and medtech, product development, acquisitions, working capital and IP expansion. Datavault AI has signed a binding term sheet for $120 million in capital from Scilex. In return, Scilex receives revenue participation rights (30% of gross revenues up to $250 million, then 15% up to $1.2 billion, and thereafter 5%). The funds are intended to build a quantum-capable edge network infrastructure in about 100 U.S. cities; Datavault has secured Nvidia GPUs with a market value of $1.2 billion and is using Available Infrastructure’s micro-edge data centers with zero-trust and quantum-resistant encryption.
