Sherritt Int. seeks dissolution of its nickel joint venture in Cuba over US sanctions

Sherritt Int. intends to end the partnership with Cuba’s General Nickel Company SA after new US sanctions affected business on the island. The company has offered to swap its 50% stake in the Moa mine in exchange for full ownership of the refinery in Fort Saskatchewan, Alberta, and is seeking C$277m in compensation from its partner. Sherritt warns the unwinding process could take months to years and has applied for a court order to speed it up; it also plans to relinquish its stake in Energas. Sherritt Int. issued about 207 million common shares in a non‑brokered private placement at $0.21 per share, raising roughly $43.5 million gross. Seymour Schulich subscribed for 68.6 million shares (about $14.4 million). An existing shareholder with roughly a 13.5% stake also participated; the transaction was considered related-party but did not result in a change of control. Sherritt Int. secures up to US$50m through private placement at US$0.21 per share

Sherritt Int. plans a private placement of up to 238,095,238 common shares at US$0.21 per share, raising gross proceeds of up to US$50 million. Seymour Schulich has agreed, through a company he controls, to subscribe for up to 68,600,000 shares (up to US$14.406 million). Closing is expected on or about April 7, 2026, and is subject to customary conditions and regulatory approvals, including the consent of the Toronto Stock Exchange. Proceeds are to be used for general corporate purposes, to support operations and for strategic initiatives; the transaction is a related‑party transaction but will not result in a change of control.
