Somero Enterprises has announced progress in its corporate governance review that has been under way since 5 June. The board sought feedback from shareholders on governance structures, board composition, legal constitution and capital allocation and, after a meeting on 8 July, approved proposed changes. In the coming days it will begin more in-depth consultations with shareholders; any changes requiring approval are expected to be put to a general meeting later in the year. Somero reported 2025 revenue of $88.9m (-18.6%), but showed a marked recovery in the second half (+23% vs H1). Adjusted EBITDA fell to $17.5m and the margin declined to 20%, while operating cash flow and net liquidity increased slightly. Somero Enterprises has launched a buyback program for common stock of up to $4.0 million, which will end no later than June 30, 2027. Purchases will be made through Cavendish Kapitalmärkte Limited within set parameters; Somero intends to cancel all shares acquired.
