William Taylor receives a one-year agreement with a base salary of $260,000, Christopher Pribula $490,000 and David Orbach $410,000; target cash bonuses are at least 25%, 23% and 20% of base salary, respectively. The contracts include automatic renewals, change-of-control protection, non‑compete and non‑solicit provisions, and severance arrangements of up to three times salary plus bonus, as well as extended health insurance benefits for qualified terminations following a change in control.
