Rance Holdings acquires 9.46% stake in mining company Tharisa

Rance Holdings Limited has acquired a 9.46% stake in Tharisa and now holds 27,726,509 voting rights, causing the reporting threshold to be exceeded on 23 January 2026. The holding is held through a chain of controlled companies, including CTF Services Limited and CTFS Management Limited. No strategic intentions of Rance Holdings were disclosed. Tharisa pays 1,584,505 shares to executives from long-term incentive plan

Tharisa implemented vesting of the LTIP 2022 and issued a total of 1,584,505 shares to nine executives and directors. Loucas Pouroulis received 385,372 shares (≈10.3m ZAR), CEO Phoevos Pouroulis 422,495 shares (≈11.3m ZAR) and FD Michael Jones 230,409 shares (≈6.2m ZAR). Participants bear tax liabilities; cash settlements were made and the remaining net amount was paid in shares; a price of 26.81 ZAR was used as the basis. Tharisa increases EBITDA by 5.5% despite falling production

Tharisa reports EBITDA of $187.3 million for the year to Sept. 30, 2025, up 5.5%, despite revenue falling 16.4% to $602.9 million. Operating profit rose to $125.6 million, supported by a mining royalties credit of $67.3 million, while PGM production and chrome concentrate fell by 4.7% and 8.2% respectively.
