Tian Ruixiang Holdings has terminated the share-swap agreement concluded with Ren Talents on 4 November 2025. VitaCare Limited returned its 100% stake in Ren Talents to the original sellers, and the 3,211,010 trustee-held Class A ordinary shares were returned to Tian Ruixiang Holdings and immediately cancelled.
