Victoria PLC announced that holders of more than 90% of the outstanding senior secured bonds (€166.6m, 3.75% coupon, maturity March 2028) have agreed to a refinancing transaction. The threshold allows the refinancing to be implemented via a consent solicitation and is intended to reduce costs compared with alternatives; the company was advised financially by Lazard & Co. Victoria PLC has agreed a binding refinancing arrangement that reduces debt and preferred share liabilities by more than £300 million. KED Victoria Holdings, Wood River Capital and consenting noteholders back the plan, which provides for conversion and release of preferred shares, issuance of new common shares and reissuance of subordinated notes through 2031. Some preferred shares will remain on amended terms, including a later conversion date and a fixed coupon of 8.0%, and consenting noteholders will receive new 2031 notes and equity.
