The shares of Animalcare Group were removed from trading on the AIM of the London Stock Exchange on Wednesday morning after CCP PAW 2 Limited — a 100% subsidiary of funds managed/advised by Charterhouse Capital Partners — acquired the company via a scheme of arrangement under Part 26 of the Companies Act 2006. The scheme took effect on Wednesday; Animalcare plans to convert into a private limited company. Following court approval of the takeover scheme and the exercise of outstanding options, Animalcare Group has issued 967,954 new ordinary shares. The exercise followed the takeover announcement by CCP PAW 2 Limited (Charterhouse) and rendered the options vested and exercisable under Rule 15 of the Takeover Code. The new shares are expected to be admitted to trading on AIM on Tuesday at around 08:00; issued share capital rises to 70,013,899 shares of 20 pence each. JPMorgan Chase & Co. has increased its voting stake in the Animalcare Group to 6.356% and now holds 4,388,686 voting rights. The position comprises 6.351% direct share voting rights via J.P. Morgan Securities PLC and 0.005% through cash-settled equity swaps with maturities to November 2026 and July 2027.
