dormakaba has signed a sale-and-leaseback agreement for its global headquarters in Rümlang with Schroders ImmoPLUS for more than CHF 80 million. The company will remain on site and will lease the property under an initial 12-year contract at market terms, with options to extend for up to a further ten years. dormakaba Holding will propose at the general meeting on 20 October 2026 to acquire the Mankel family’s 47.5% stake in the operating business for CHF 2.13 billion as a contribution in kind in exchange for 36,161,560 new shares (issue price CHF 58.0989) plus CHF 29.9 million in cash. The aim is to align ownership rights and economic interests at the holding level, increase transparency, improve financial flexibility and strengthen the capital markets profile; an independent fairness opinion confirms the financial appropriateness.
