Galaxy Payroll Group terminated earlier PIPE agreements for 2025 and simultaneously announced a new sale of 3,800,000 common shares at $0.66 each, which is expected to generate gross proceeds of about $2.5 million before fees. The agreed price equals 40% of the closing price on January 14; the transaction is subject to customary closing conditions and includes a Registration Rights Agreement for the later resale of the shares.
