LIXTE grants NOMAD $6.5 million loan ahead of takeover

LIXTE is providing NOMAD Transportable Power Systems with a $6.5 million loan ahead of the expected completion of the takeover to finance component procurement and bolster working capital. The acquisition is expected to close around July 1, 2026; afterwards LIXTE plans to be renamed NOMAD Power Solutions, Inc. and to trade under a new Nasdaq ticker. NOMAD manufactures mobile, grid-compatible battery storage systems and holds a UL-9540 validation for its platform. Lixte Biotechnology raises $16.6 million in capital, shares fall

Lixte Biotechnology agreed to a registered direct placement of $16.6 million, offering 2,625,362 common shares plus prepaid warrants at an offering price of $6.31 per share. The prepaid warrants cost $0.0001, are exercisable immediately and entitle the holder to one common share; the transaction was priced at market in accordance with NASDAQ rules and is expected to close around June 3, 2026. Lixte Biotechnology replaces management stock options with immediately vested RSUs

The compensation committee of Lixte Biotechnology approved the cancellation of previously granted stock options for CEO Geordan Pursglove, CFO Peter Stazzone and several directors and replaced them with immediately non‑forfeitable Restricted Share Units (RSUs) under the 2020 Stock Incentive Plan. Specifically, 350,000 CEO options were exchanged for 350,000 RSUs; the CFO received 50,000 RSUs, and each of the four named directors received 25,000 RSUs.
