Northwest Biotherapeutics has closed a $4.9 million convertible note with YA II PN, Ltd. (managed by Yorkville Advisors) to bridge acute liquidity shortfalls. The unsecured, non‑interest‑bearing note runs for 12 months, is issued with a 5% original issue discount and can be converted by the holder prior to maturity into shares at a small discount. In addition, there is a voluntary standby equity purchase agreement of up to $50 million within 24 months and a warrant of up to $2 million at $0.205 per share.
