Nukkleus subsidiary wins defense contracts worth about $4.1 million
Nukkleus reports that its 100% subsidiary B. Rimon Agencies has signed multi-year contracts with leading Israeli OEMs to manufacture critical components for the Iron Dome and other national security platforms. Nukkleus buys Tiltan for $14 million and strengthens AI defense portfolio
Nukkleus has acquired Tiltan Software Engineering for about $14 million; 75% of the purchase price (47,600,000 NIS) will be paid in cash in six installments through June 2026, the remaining 25% in common shares. Tiltan supplies AI simulation systems, synthetic data generators and GPS-independent navigation solutions used by Israel Aerospace Industries, Elbit Systems and Rafael. Nukkleus shareholders confirm board and approve 2025 equity plan
At the annual general meeting shareholders elected five directors (Menachem Shalom, David Rokach, Tomer Nagar, Aviva Volodarsky, Reuven Yeganeh) and reappointed Somekh Chaikin as external auditor. The 2025 Equity Incentive Plan to issue up to 3,950,000 common shares was also approved; the meeting was quorate with 5,135,897 common shares present or represented. Nukkleus also disclosed the acquisition of a majority stake in the sponsor of SPAC SC II Acquisition Corp., a $10 million PIPE investment, and a $250 million equity facility with Esousa Holding Group to strengthen the balance sheet and finance aerospace/defense acquisitions.
