United Lithium takes over Swedish Minerals and expands portfolio into uranium and rare earths

United Lithium has signed a share-swap agreement to acquire Swedish Minerals, thereby adding eight exploration properties in Finland and Sweden, including Riutta and Duobblon, to its portfolio. The transaction provides for the issuance of 15,865,000 common shares and USD 427,500 in cash, includes a 1.75% NSR in favor of Scandinavian Resources and a reconstitution of the board; Jonathon Franklin will become president. United Lithium raises $2.25 million in private placement; Andrew Bowering named interim CEO

United Lithium placed 15 million units at $0.15 each, generating gross proceeds of $2.25 million; each unit comprises one common share and one warrant (exercise $0.30 within 24 months, accelerated if the share trades at $0.60 over ten trading days). Proceeds will be used for working capital, exploration activities and due diligence on the announced acquisition of Swedish Minerals. Several insiders participated, including new interim CEO Andrew Bowering with a $300,000 investment. Bowering replaces Scott Eldridge with immediate effect.
