Vyne Therapeutics announced a definitive merger agreement with clinical biotech company Yarrow Bioscience, after which Vyne shares rose 77.9% in pre-market trading. The all-stock transaction will create a combined company named Yarrow Bioscience with the expected Nasdaq ticker YARW and is supported by financing commitments of around $200 million led by RTW Investments with participation from OrbiMed, Janus Henderson and others. Prior to closing, Vyne plans a cash dividend to shareholders equal to excess net cash of about $14.5–16.5 million; the new company’s cash balance is expected to fund operations through 2028.
