Ingenia Communities rejects takeover offer from Warburg Pincus

Ingenia Communities has rejected an unsolicited cash offer from Warburg Pincus of A$4.75 per security (about A$1.9bn), saying the bid significantly undervalues the company. The offer was conditional on due diligence, regulatory approvals and a unanimous board recommendation, and required Ingenia to halt its planned takeover of Peet. Ingenia reports strong FY26 result, shares fall after cautious outlook

Ingenia recorded group EBIT of AUD 193m for fiscal year 2026 (+18%) and adjusted earnings per security of AUD 0.358 (+16%); reported profit rose 45% and tangible net assets increased 9%. The development division was a major contributor, with a gross margin of 48% and positive net cash flow per parcel of AUD 15,000. Despite the stronger numbers, the stock fell about 4.7% after a cautious forecast for FY27 (EBIT and adjusted EPS: 0–10%) and amid the planned takeover of Peet.
