Shareholders of Henderson Smaller Companies Trust approved by special resolution the buyback of up to 8,674,958 ordinary shares (14.99% of issued shares, excluding treasury shares) with 98.01% approval. A maximum purchase-price limit applies, which must not exceed 105% of the average mid-market price for the five dealing days before the purchase or the highest independent offer. The company has issued 74,385,131 ordinary shares, of which 16,834,663 are held in treasury, and the authority runs until the next annual general meeting, expected in October 2026.
