Branicks has signed lock‑up agreements with a majority of the bond and Schuldschein creditors to enable an extension and comprehensive restructuring of its financial liabilities. Key elements are new bridge financings totaling EUR 95 million (EUR 35m from Branicks, EUR 60m from VIB), which will be converted into long‑term new money; a conversion of the existing bond and SSD/NSV into senior secured instruments (EUR 258.8m and EUR 116.2m); and the issuance of subordinated instruments (in total e.g. EUR 151.5m and EUR 68m). Implementation is subject to conditions, including the resignation of the supervisory board chair and the appointment of Josef Schultheis as CRO; senior secured instruments mature on 30.9.2030 with 7.5% p.a., subordinated instruments mature on 30.9.2038 with 15% p.a. The 100% subsidiary DIC Real Estate Investments GmbH & Co. KGaA and VIB Vermögen have opened talks on a domination and profit transfer agreement under §291 AktG. The agreement provides for an annual compensation payment to VIB’s minority shareholders and an offer to acquire their shares in exchange for newly issued Branicks shares; conditional capital is to be created for this purpose. DIC Corporation has opened a production facility in Jakarta, Indonesia, at its subsidiary PT. DIC Graphics to manufacture high-performance, recyclable coatings for direct food-contact paper packaging, aiming for 1,000 tonnes annual output by FY30.
