Gran Tierra has satisfied all conditions precedent of the agreement with Ecopetrol to acquire a 49% working interest in the Tisquirama block (Tisquirama and San Roque) in the Middle Magdalena Valley Basin. The fields are adjacent to the Acordionero field and produced about 2,500 barrels of oil equivalent per day on a gross basis in 2025. Gran Tierra Energy reported the immediate resignation of four board members (Evan Hazell, Sondra Scott, David Smith, Brad Virbitsky) due to disagreements over the handling of an independent probe into an anonymous complaint. The complaint contained no allegations of fraud or false financial reporting; however, the audit committee is continuing the investigation and has instructed management to engage external counsel and experts if needed. Gran Tierra reports that during the early tender period notes with a principal amount of USD 636.74 million (88.89% of the outstanding 9.50% notes due 2029) were tendered, exceeding the 66 2/3% threshold required for amendments. Creditors who tendered early will receive approximately USD 196.31 in cash and USD 803.69 in new senior secured amortizing notes with a 9.750% coupon maturing in 2031 per USD 1,000 principal; if tendered later the cash component is omitted and new notes with a USD 1,000 principal are offered. Gran Tierra has already signed a supplemental agreement; upon effectiveness on February 18 most covenants are to be waived, collateral released and definitions adjusted.
