The management board of HWA, with the approval of the supervisory board, has resolved a rights issue of up to EUR 4,447,801.05. Up to 4,236,001 new shares are to be issued at a subscription price of EUR 1.05 in a ratio of 14 to 5; the subscription period is expected to run from 28 July 2026 to 24 August 2026. Shareholder Dörflinger Management & Beteiligungs GmbH (DMB) will take up to 3,420,228 direct subscription shares and has provided a backstop under which it will subscribe for any unsubscribed shares at the subscription price, so the company assumes full execution and receipt of the gross proceeds. HWA AG still expects an increase in total performance for 2026 but adjusts its EBIT forecast: the target remains a slightly positive EBIT, although a moderate loss cannot currently be ruled out. Reasons include a drop in demand in the automotive sector, rising material costs and geopolitical uncertainties. The in‑house development HWA EVO has started with first deliveries, while supply bottlenecks for parts are postponing portions of revenue.
