The Railways Pension Trustee Company (Railpen) has confirmed it will not submit a takeover offer for IP Group because it is subject to the restrictions of Rule 2.8 of the City Code. IP Group had extended the “put up or shut up” deadline but was unable to reach an agreed solution with Railpen. IP Group’s board rejected a revised offer from Railpen of 71.3 pence per share, saying it undervalued the company’s future potential. Railpen’s offer (around £630m) comprised 61p in cash, 10.3p for the stake in Oxford Nanopore and a conditional value right of up to 11.3p for Metsera, which could raise the total value to as much as £730m. Without the conditional value right the offer represented a roughly 10.2% premium to the closing price; Railpen holds 18.4% of IP Group.
