GH Power has reached an agreement with Matinas BioPharma on a business combination that would create NYSE American‑listed GH Power International. GH Power will contribute modular reactor technology that converts metal scrap and water into alumina, clean hydrogen and heat; existing GH shareholders are expected to hold about 91% after the transaction and Matinas shareholders about 9%. Each Matinas share will be exchanged for 0.1 common shares of GH Power International, outstanding options will be converted, and GH Power is targeting a PIPE financing of at least $15 million. Matinas BioPharma amended CEO Jerome D. Jabbour’s employment agreement: the period during which a qualifying change of control may occur was extended through June 30, 2026. The retention award will be the greater of the target annual bonus for the year of the change of control or $299,000; two-thirds will be paid upon signing a definitive agreement and the remaining one-third before closing the transaction, provided no termination-related disqualification occurs. The agreement also guarantees Jabbour a 2025 annual bonus of at least the target amount, payable by February 1, 2026 at the latest if employment continues.
