S-Bank takeover offer sends Oma Saastopankki shares sharply higher

S-Bank Plc has announced a voluntary recommended cash offer of €17.20 per share for all outstanding shares of Oma Saastopankki, implying a premium of about 52.5% versus the volume-weighted average price over the past 12 months and valuing the offer at approximately €571.4m. Five large savings bank foundations holding around 59.9% of the voting rights have irrevocably committed to accept, and the board of directors recommends approval. Completion is expected in Q4 2026, with Oma Saastopankki to continue as a subsidiary, although a later delisting from Nasdaq Helsinki remains possible.
