The notes are issued at 99%, carry 5% p.a. interest payable quarterly in the form of payable-in-kind (PIK), and mature on January 14, 2029 unless converted earlier. The conversion price is the lower of $10.50 or 97% of the relevant VWAP, with a minimum conversion price of $1.93; obligations are guaranteed by the German subsidiary Gebr. Schmid GmbH.
